Terms of Service

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

Trooply Video is a video messaging and screen recording platform that allows users to record, share, and collaborate through video content. The Service includes web applications, browser extensions, desktop applications, and associated APIs.

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice. We will make reasonable efforts to notify you of significant changes that may affect your use of the Service.

To use certain features of the Service, you must create an account. When creating an account, you agree to:

• Provide accurate and complete information
• Maintain and promptly update your account information
• Keep your password secure and confidential
• Notify us immediately of any unauthorized access to your account
• Accept responsibility for all activities that occur under your account

You must be at least 13 years of age to create an account. If you are under 18, you must have your parent or legal guardian's consent to use the Service.

You agree not to use the Service to:

• Violate any applicable laws, regulations, or third-party rights
• Upload, share, or distribute content that is unlawful, harmful, threatening, abusive, defamatory, or otherwise objectionable
• Record or share content without the consent of all parties being recorded, where required by law
• Distribute malware, viruses, or other harmful software
• Attempt to gain unauthorized access to the Service or its related systems
• Interfere with or disrupt the integrity or performance of the Service
• Use the Service for any commercial purpose not expressly permitted by these Terms
• Reverse engineer, decompile, or disassemble any aspect of the Service

The Service and its original content (excluding User Content), features, and functionality are and will remain the exclusive property of Trooply and its licensors. The Service is protected by copyright, trademark, and other laws of both the United States and foreign countries.

Our trademarks, trade names, and trade dress may not be used in connection with any product or service without our prior written consent.

You retain all rights to the content you create and upload through the Service (“User Content”). By using the Service, you grant us a limited, non-exclusive, worldwide, royalty-free license to use, store, process, and display your User Content solely for the purpose of providing and improving the Service.

You represent and warrant that you own or have the necessary rights to all User Content you upload, and that your User Content does not infringe upon the intellectual property rights or privacy rights of any third party.

We do not claim ownership of your User Content, and we will not use your recordings for training AI models or for any purpose other than providing the Service to you, unless you explicitly consent.

Certain features of the Service require a paid subscription. By subscribing to a paid plan, you agree to:

• Pay the applicable subscription fees as described at the time of purchase
• Provide valid payment information and authorize recurring charges
• Accept that subscriptions automatically renew unless cancelled before the renewal date

All fees are non-refundable except as required by law or as expressly stated in these Terms. We may change our pricing at any time, but will provide at least 30 days' notice before changes apply to your existing subscription.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL TROOPLY, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your access to or use of (or inability to access or use) the Service
• Any conduct or content of any third party on the Service
• Any content obtained from the Service
• Unauthorized access, use, or alteration of your transmissions or content

Our total liability to you for any claims arising from or related to the Service shall not exceed the amount you have paid us in the twelve (12) months preceding the claim.

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms.

Upon termination, your right to use the Service will immediately cease. You may export your User Content before termination. After termination, we will delete your data in accordance with our Privacy Policy.

You may terminate your account at any time by contacting us or using the account deletion feature in your settings.

These Terms shall be governed and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms will be brought exclusively in the courts located in Delaware, and the parties irrevocably consent to the personal jurisdiction and venue therein.
